LegalTerms of Service
The terms on which Sailward Media provides advertising channel services.
1. Agreement
These Terms of Service govern the provision of services by Yuanqi Fort Bureau LLC, a California limited liability company operating under the Sailward Media brand ("Sailward", "we", "us"), to the business entity named in a proposal, order form or statement of work ("Client", "you"). By engaging us, you accept these terms. Where a signed agreement exists between us, that agreement prevails over these terms to the extent of any conflict.
2. What we do — and what we do not do
Sailward Media acts as an authorized advertising channel partner. Our services include: opening and activating advertiser accounts on Google, Meta and TikTok; arranging funding of advertising spend through our channel lines; providing platform-level media access and a separately stated service fee; supporting business verification and compliance processes; and assisting with policy reviews, restrictions and appeals.
We do not provide media buying, campaign management, optimization, creative production, audience strategy or day-to-day account operation. Campaign decisions, budgets and creative remain entirely with you or with any agency you appoint. Nothing in these terms obliges us to manage advertising campaigns on your behalf.
3. Client obligations
- Provide accurate, current and complete information, and maintain it as things change
- Complete platform verification requirements in a timely manner
- Comply with the terms, policies and advertising standards of each advertising platform
- Ensure that your products, services, landing pages and creatives are lawful in every market you target
- Maintain the security of your own account access credentials
- Pay invoices in accordance with the agreed terms
4. Platform terms take precedence
Advertising accounts are governed by the terms of the relevant platform. Where a platform's terms conflict with anything in this agreement, the platform's terms prevail in respect of that account. We cannot override, waive or vary platform policy, and we do not control platform decisions.
5. No guarantee of approval or continuity
Opening an advertiser account, raising spending limits and reinstating a restricted account are all subject to the platform's sole discretion. We will prepare, submit and escalate as effectively as we can, but we do not guarantee approval, a specific timeline, a particular spending limit, or that an account will remain unrestricted. Any indicative timeline we give is an estimate, not a contractual commitment.
6. Fees, pricing and payment
Commercial terms — including the media rate, the applicable service fee and payment terms — are set out in the proposal or order form issued to you before any account is opened or funded. Media is passed through at the platform rate with no undisclosed markup, and ad spend is funded in advance rather than invoiced on credit. Invoices are payable within the period stated on the invoice. Where a platform charges us for spend committed on your behalf, you remain liable to reimburse that amount regardless of the performance of your campaigns.
7. Client funds
Where you prepay advertising spend, funds are held and applied to the relevant platform account. Prepaid balances are non-interest-bearing and are not refundable once spent on the platform. Unspent balances may be refundable at our discretion, net of any non-recoverable platform or transaction costs.
8. Intellectual property
Each party retains ownership of its own intellectual property. You grant us a limited licence to use your name, logo and basic business information solely for the purpose of opening accounts and completing platform verification and compliance processes. We will not use your name in public marketing without your prior written consent.
9. Confidentiality
Each party will keep the other's confidential information private and use it only for the purposes of this agreement. This obligation survives termination. We may disclose information where required by law, by a platform's compliance process, or by a regulator.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential losses, or for loss of profit, revenue, data or goodwill. Our total aggregate liability arising out of or in connection with this agreement is limited to the fees paid to us by you in the twelve months preceding the event giving rise to the claim. Nothing in this agreement excludes liability that cannot lawfully be excluded.
11. Indemnity
You agree to indemnify us against claims, losses and costs arising from your products or services, your creatives or landing pages, your breach of platform policy, or your breach of these terms.
12. Term, suspension and termination
Either party may terminate the agreement on written notice. We may suspend services immediately where continued provision would breach platform policy or applicable law, where invoices are overdue, or where we reasonably believe the account is being used unlawfully. On termination, you remain liable for spend already committed and for invoices already issued.
13. Changes
We may update these terms to reflect changes in our services or the law. The revised version will apply to engagements entered into after the update, and to ongoing engagements where we give reasonable notice.
14. Governing law
These terms are governed by the laws of the jurisdiction stated in your proposal or order form, and the courts of that jurisdiction have exclusive jurisdiction over any dispute, unless mandatory consumer or local law provides otherwise.
